Parties:

Client: Acme Corporation Address: 789 Market Street, San Francisco, CA 94103

Contractor: Jane Doe Address: 456 Oak Street, San Francisco, CA 94110

Scope of Work:

The Contractor agrees to provide consulting services related to digital marketing, as detailed in Schedule A attached hereto, for the Client between the dates of ____________ and ____________.

Compensation:

The Client shall pay the Contractor a fee of $X per hour, payable within 30 days of receipt of invoice. Invoices shall be submitted bi-weekly and include a description of services performed.

Independent Contractor Relationship:

The Contractor is engaged as an independent contractor and not as an employee of the Client. Nothing in this agreement shall be interpreted to create an employer-employee relationship, partnership, or joint venture.

Confidentiality:

The Contractor agrees to maintain the confidentiality of all proprietary information received during the course of this engagement and shall not disclose such information to any third party without prior written consent from the Client.

Termination:

Either party may terminate this agreement with 15 days’ written notice. Upon termination, the Contractor shall deliver all work product and return any Client property in their possession.

Governing Law:

This agreement shall be governed by and construed in accordance with the laws of the State of California.

Additional Provisions:

  • The Contractor shall not subcontract or assign their rights under this agreement without prior written approval from the Client.
  • The Contractor shall comply with all applicable laws, regulations, and ordinances related to the services provided.
  • This agreement constitutes the entire understanding between the parties and supersedes any prior agreements or understandings.
