Non-Solicitation Agreement for Independent Contractors Sample

Parties Involved:

Purpose of the Agreement:

This agreement sets forth the terms by which the Independent Contractor agrees not to solicit or induce any employees or clients of the Company to cease their relationship or business with the Company during the term of engagement and for a specified period thereafter.

Non-Solicitation Terms:

The Independent Contractor agrees that during the term of this agreement and for a period of twelve (12) months following its termination, they shall not directly or indirectly solicit, induce, or attempt to solicit or induce any employee, contractor, or client of the Company to terminate their relationship with the Company or to engage with the Contractor or any third party.

Obligations of the Parties:

The Contractor shall not engage in any activity that would violate this non-solicitation commitment, and the Company shall respect the confidentiality of the Contractor’s proprietary information.

Governing Law:

This agreement shall be governed by and construed under the laws of the State of California. Any disputes shall be resolved in the courts located in Santa Clara County, California.

Additional Provisions:

  • This agreement constitutes the entire understanding between the parties regarding non-solicitation and supersedes all prior agreements.
  • Any amendments to this agreement must be in writing and signed by both parties.
  • If any provision is deemed unenforceable, the remaining provisions shall remain in full force and effect.
