Disclosing Party: Tech Innovations Inc.

Purpose of Disclosure:
The Disclosing Party intends to share confidential software-related information with the Receiving Party for the purpose of evaluating or engaging in a potential business relationship regarding software development, licensing, or collaboration.
Confidential Information:
“Confidential Information” includes all written, electronic, or oral information related to software code, algorithms, designs, documentation, business strategies, or other proprietary data disclosed by the Disclosing Party.
Obligations of Receiving Party:
The Receiving Party shall keep all Confidential Information strictly secret, use it solely for the Purpose specified above, and not disclose it to any third parties without prior written consent. The Receiving Party shall implement reasonable security measures to protect the Confidential Information.
Term and Termination:
This Agreement shall commence on the date signed below and continue for a period of two years unless terminated earlier by written notice. The obligations of confidentiality shall survive termination for a period of five years.
Additional Provisions:
- The Receiving Party shall not reverse engineer, decompile, or disassemble any Confidential Information or software.
- All Confidential Information remains the property of the Disclosing Party.
- Failure to comply with this Agreement may result in damages and legal remedies.
