Consulting Retainer Agreement Sample

Parties Involved:

Client: ABC Corporation

Consultant: Jane Doe Consulting

Scope of Services:

The Consultant agrees to provide strategic advisory services related to marketing and business development, as detailed in the project scope attached as Exhibit A.

Retainer Term and Compensation:

This agreement shall commence on _________________ and continue until _________________, unless terminated earlier in accordance with this agreement. The Client agrees to pay the Consultant a retainer fee of $5,000 per month, payable in advance on the first day of each month.

Confidentiality:

Both parties agree to maintain the confidentiality of all proprietary and confidential information exchanged during the term of this agreement, and not to disclose such information to third parties without prior written consent, except as required by law.

Obligations of the Parties:

The Consultant shall perform services diligently and in a professional manner. The Client shall provide necessary information and access to resources required for the Consultant to fulfill their obligations.

Governing Law:

This agreement shall be governed by and construed in accordance with the laws of the State of Stateville. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the courts located in Stateville.

Additional Provisions:

  • Either party may terminate this agreement with 30 days’ written notice.
  • All work products shall remain the intellectual property of the Client upon full payment.
  • Any amendments to this agreement must be made in writing and signed by both parties.
