Purpose of Disclosure:

The Disclosing Party intends to share confidential information related to business strategies, product designs, and proprietary data with the Receiving Party for the purpose of potential collaboration and evaluation.

Definition of Confidential Information:

Confidential Information includes all oral, written, or electronic data, documents, and materials provided by the Disclosing Party, which are marked as confidential or understood to be confidential.

Obligations of the Receiving Party:

The Receiving Party shall keep all Confidential Information strictly secret, not disclose it to third parties without prior written consent, and use it solely for the Purpose stated above. The Receiving Party shall take reasonable steps to protect the confidentiality of the information.

Term of Agreement:

This Agreement shall commence on the date signed below and continue for a period of two (2) years unless terminated earlier by written notice of either party.

Additional Provisions:

• Unauthorized use or reproduction of Confidential Information is prohibited.
• Return or destruction of Confidential Information shall occur upon termination of this Agreement or upon request.
