Photo Licensing Agreement Sample

Description of the Licensed Photos:

The photographs titled “Sunset Serenity” and “Urban Lights,” collectively referred to as “the images,” include all digital copies, metadata, and any related rights provided by the Licensor to the Licensee for specified uses as outlined below.

License Grant and Usage Rights:

The Licensor grants the Licensee a non-exclusive, worldwide license to use the images for commercial advertising, online distribution, and promotional materials, subject to the terms set forth in this agreement. Rights are granted for a period of 12 months from the date of this agreement.

License Fee:

The Licensee agrees to pay the Licensor a fee of $2,500 upon signing this agreement. Additional usage or extensions may be subject to further compensation as agreed.

Restrictions and Obligations:

The Licensee shall not sell, sublicense, or transfer the images without prior written consent from the Licensor. Usage must comply with applicable laws and ethical standards. The Licensor retains all rights not explicitly granted herein.

Warranties and Indemnity:

The Licensor warrants that they hold the rights to the images and that use as permitted in this agreement will not infringe on third-party rights. The Licensee agrees to indemnify and hold harmless the Licensor against any claims arising from misuse.

Governing Law:

This agreement shall be governed by the laws of the State of California. Any disputes will be resolved in the courts located in Los Angeles County.

Additional Provisions:

• The Licensee shall give appropriate credit to the Licensor when using the images.
• Any modifications to the images must be approved in writing by the Licensor.
• Failure to comply with these terms may result in termination of the license and legal action.
